Overview
Courtney Harris concentrates his practice on business and transactional matters for a wide range of clients with a particular focus on mergers and acquisitions, financings, recapitalizations, joint ventures, and other commercial transactions.
Courtney also routinely counsels entrepreneurs, startup and growth-stage companies and investors in connection with the structuring and formation of new business ventures, private placements, capital raising transactions, agreements among founders, and employment and equity arrangements with key personnel. He also provides general legal and business advice to clients seeking to scale their business.
Representative Matters
Mergers, Acquisitions and Dispositions
- Represented owners of radio broadcast stations in the acquisition and sale of radio stations serving Columbus, OH, Kansas City, MO, Fresno, CA, Lubbock, TX and Denver, CO markets.
- Represented the purchaser of a medical billing and scheduling SaaS provider. Approximate deal value of $130 million.
- Represented a music publishing company in connection with the purchase and sale of its portfolio of copyright assets.
- Represented the owners of The Daily Racing Form in connection with the sale of the publication Approximate deal value of $250 million.
- Represented founders and a leading manufacturer and marketer of animal health and nutrition products in the sale of $97.2 million of shares to a European private equity sponsor and concurrent AIM listing.
- Represented the shareholders of an emergency medical-transportation services company in connection with its sale to the world’s largest international rescue company. Approximate deal value of $50 million.
Corporate Finance
- Represented a leading manufacturer and marketer of animal health and nutrition products in connection with the restructuring and issuance of $350 million in debt securities and a new domestic secured credit facility.
- Represented venture-backed InsurTech issuer in connection with over $60 million in multiple preferred stock equity rounds.
- Represented a leading provider of personal injury claim loans in connection with a $50 million senior secured credit facility.
- Represented numerous private equity fund sponsors in connection with LBO financing transactions.
- Represented a mezzanine debt fund sponsor in connection with numerous portfolio investments and intercreditor agreements.
Hospitality
- Represented owner and developer of boutique hotels in New York City, Los Angeles and Washington DC in the negotiation of various joint venture and restaurant management agreements with restaurant operators and celebrity chefs.
- Represented Friends of The High Line, Inc. in its negotiation of a license agreement with restaurant operators and the New York City Department of Parks & Recreation for the operation of food and beverage establishment on the High Line.
- Represented chefs and investors in connection with new restaurant concepts, “turn-key” acquisitions and related equity financing transactions.
- Represented founders of a fast-growing chain of seafood restaurants in connection with a corporate restructuring involving a LLC freeze structure and the spin-off of intellectual property assets and newly formed retail operating units.
- Represented investors in the negotiation of a joint venture operating agreement with a celebrity chef in connection with a newly opened restaurant in the Flatiron District neighborhood in New York City.
- Represented an operator of specialty retail stores in the licensing of rights to operate branded locations in the Middle East.
Other Transactional Matters
- Represented a leading e-commerce platform in connection with the development of its consumer facing and enterprise-contract portfolio.
- Represented a food-waste management company and animal feed manufacture in connection with a joint-venture with an Australian-based climate investment fund. Approximate deal value of $30.0 million.
- Represented a leading manufacturer of cosmetic products in connection with its supply agreement portfolio.
- Represented an online ticketing company in connection with a self-tender offer of its common and preferred stock.
- Represented numerous companies in connection with the structuring and implementation of their respective equity compensation plans.

Courtney enjoys spending time with his wife and two young sons in his adopted hometown of Providence, Rhode Island. He particularly enjoys skiing, golfing and playing tennis while supporting his sons’ growing passions for travel, history and their respective athletic pursuits. As a native New Yorker, Courtney has maintained his avid NY Jets, Yankees and Knicks fandom, but can also be found supporting the local Providence Friars basketball and soccer programs with his wife and children.
