Briar L. McNutt is a Member in the firm’s Securities and Corporate Finance Department.
Ms. McNutt practices in the areas of securities law and corporate and business transactions and represents publicly- and privately-held companies. Ms. McNutt devotes a significant portion of her time to assisting large and small public companies with ’34 Act periodic reporting and compliance and corporate governance matters, including implementation of various aspects of the Sarbanes-Oxley Act. She also has counseled public companies in equity and debt securities offerings and going-private transactions. Ms. McNutt assists early-stage companies with private placements and venture capital transactions, as well as day-to-day corporate law compliance and shareholder matters. Ms. McNutt also has experience in drafting commercial contracts, including employment and distribution agreements.
Ms. McNutt works with clients in a variety of industries, including biotechnology, pharmaceuticals, computer software, telecom and reverse logistics.
Prior to concentrating her practice in securities and corporate transactional work, Ms. McNutt practiced in New York City in the areas of antitrust and securities litigation.
