Edward J. Kuna is a Member of the firm in the Business Division. He focuses his practice on the representation of clients in a wide variety of debt financing, real estate and general corporate matters.Mr. Kuna's debt financing experience is broad-based and includes representing individuals, corporations and financial institutions in negotiating, structuring, documenting and administering secured and unsecured single-lender and multibank transactions, including asset-based financings, cash flow loans, working capital and other revolving credit financings, equipment lease financings, tax-exempt financings, mezzanine and real estate finance transactions. He has frequently represented clients in connection with agency and other inter-creditor issues, the sale and purchase of performing and non-performing loan portfolios, including third-party servicing arrangements, and has handled the out-of-court workout and restructuring of troubled credits.
Mr. Kuna’s real estate experience includes representing clients as buyers, sellers, lenders and borrowers in connection with a wide variety of real estate transactions encompassing loans (including construction and development financings), leases (retail, office and industrial), acquisitions, sales, development, management and environmental assessment and remediation, in both single asset and portfolio transactions.
Mr. Kuna has also represented clients in connection with general commercial and corporate transactions of all types, such as mergers, acquisitions and dispositions, shareholder agreements, joint ventures, licensing arrangements, employment agreements and franchise, distribution and sales agreements.
Prior to joining private practice, Mr. Kuna served as in-house counsel for the commercial division of one of the nation's largest diversified financial institutions.
