Stuart R. Kaplan is a member in Eckert Seamans’ Corporate and Business practice group.  His practice is concentrated in the areas of general corporate, mergers and acquisitions and health care law.

Mr. Kaplan has extensive experience in the acquisition and sale of privately held businesses and in advising companies with respect to a wide range of business concerns and issues, including gaming matters.  He serves as general counsel to numerous closely held companies and frequently assists with transactions of various kinds and complexity.  He is also frequently asked to prepare commercial contracts, shareholder agreements, employment contracts, financing documents, lease agreements and other real estate documents, and to assist in resolving shareholder disputes and other corporate deadlock situations.

Mr. Kaplan’s health care practice includes providing counsel to hospitals, health plans, physician groups, ambulatory surgical centers and physicians.  He has extensive experience forming physician practice associations, physician hospital organizations, ambulatory surgical centers and physician groups.

Mr. Kaplan’s representations have included:

1. Assisting with various gaming related matters, including slots gaming licensure issues;
2. Facilitating the management buyout of a local chain of retail stores;
3. Selling numerous closely held companies in the plastics, rail products, telecommunications, manufacturing and packaging industries;
4. Completing the tax free reorganization of two Western Pennsylvania manufacturing companies;
5. Providing guidance with respect to physician credentialing issues and Data Bank reporting requirements for a large health plan;
6. Assisting with Pennsylvania Liquor Control Board and Pennsylvania lottery issues; and
7. Advising executives and physicians with respect to employment issues and stock option, stock appreciation rights, phantom stock and other compensation and benefit arrangements.

Mr. Kaplan has been recognized by his peers as one of Pennsylvania's Super Lawyers^® in 2005, 2006 and 2008, ranking among the top five percent of attorneys practicing in this state.  He also holds an AV^® rating from Martindale-Hubbell.

Mr. Kaplan has authored numerous articles on business, health care and generation transitional issues and is active in community affairs.
